Pelo presente instrumento, o CORRETOR formaliza seu cadastro perante a VALIO SEGUROS LTDA. (doravante "VALIO"), sociedade que atua como representante e gestora de subscrição (Managing General Agent, MGA) de seguradoras parceiras, e declara e compromete-se a:

By this instrument, the BROKER formalizes its registration with VALIO SEGUROS LTDA. (hereinafter "VALIO"), a company that acts as a representative and Managing General Agent (MGA) for partner insurers, and declares and undertakes to:

• Atuar em total conformidade com as normas legais e regulatórias aplicáveis ao setor de seguros e às atividades de corretagem, especialmente em conformidade com as normas da Superintendência de Seguros Privados (SUSEP) e com a legislação vigente, incluindo, mas não se limitando, à Lei nº 4.594/1964 e à Circular SUSEP nº 612/2020, bem como com as diretrizes comerciais estabelecidas pela VALIO;
• Cumprir as disposições da Lei nº 9.613/1998, relacionadas à prevenção e combate à lavagem de dinheiro e adotar medidas para evitar qualquer envolvimento em práticas ilícitas, inclusive com relação a transações que envolvam a ocultação de bens, direitos e valores, além de não praticar, autorizar ou permitir qualquer conduta que possa resultar em violação, por parte da VALIO ou das seguradoras parceiras, de regulamentos anticorrupção ou de combate ao suborno, seja de forma direta ou indireta;
• Comprometer-se a notificar imediatamente a VALIO caso tenha conhecimento ou suspeite de qualquer prática de corrupção relacionada à negociação dos produtos da VALIO;
• Declarar que leu, entendeu e concorda com as normas descritas no Manual de Parceiros e Fornecedores, estando ciente de que o não cumprimento dessas diretrizes pode resultar na suspensão ou rescisão da parceria; declara, ainda, estar ciente de que parceiros e terceiros são essenciais para os negócios, mas podem representar riscos de compliance, passando por diligências com foco especial na prevenção à lavagem de dinheiro e riscos de integridade;
• Ser responsável por sua conduta perante os clientes e assumir plena responsabilidade, tanto judicial quanto extrajudicialmente, por qualquer violação do Código de Defesa do Consumidor resultante de práticas que possam induzir em erro os clientes e subscritores, relativamente aos reais objetivos dos produtos contratados;
• Informar periodicamente à VALIO o âmbito territorial de sua atuação, bem como quaisquer fatos ou ocorrências relacionadas à VALIO, sob pena de responsabilização pela omissão dessas informações;
• De acordo com a legislação em vigor, emitir e enviar a nota fiscal (ou o Recibo de Pagamento Autônomo, RPA, se pessoa física) à parte responsável pelo pagamento da comissão (a VALIO ou a seguradora parceira, conforme o modelo aplicável a cada produto) como condição para o recebimento da comissão de corretagem;
• Cumprir integralmente as disposições contidas na Resolução CNSP nº 382/2020, incluindo a prévia disponibilização ao proponente das informações previstas no art. 4º, § 1º, da referida Resolução;
• Em conformidade com as restrições estabelecidas no Art. 125 do Decreto-Lei nº 73, de 21/11/1966, declarar que o CORRETOR, seus prepostos, sócios e diretores não mantêm vínculo empregatício ou função de direção em Sociedades Seguradoras, tampouco com entidades jurídicas de Direito Público;
• Implementar e manter medidas de segurança robustas para proteger a infraestrutura de Tecnologia da Informação (TI), sistemas, bases de dados, redes, aplicativos e outros recursos relacionados às atividades realizadas contra Incidentes de Segurança, incluindo controles de gerenciamento de acesso, criptografia e backup, monitoramento e detecção de ameaças, e atualizações de segurança conforme necessário;
• Fornecer treinamento periódico em segurança da informação para seus funcionários, contratados ou qualquer pessoa que tenha acesso às informações decorrentes das atividades de corretagem;
• Notificar a VALIO imediatamente após a descoberta de qualquer Incidente de Segurança envolvendo dados ou sistemas relacionados às atividades de corretagem, informando as consequências e as ações tomadas ou planejadas para mitigar o risco, e colaborar totalmente com a VALIO em caso de Incidente de Segurança;
• Em caso de subcontratação das suas atividades de corretagem, exigir do(s) subcontratado(s) o cumprimento das obrigações acima, respondendo integralmente perante a VALIO.

• Act in full compliance with the legal and regulatory standards applicable to the insurance sector and brokerage activities, in particular the rules of the Superintendence of Private Insurance (SUSEP) and current legislation, including but not limited to Law No. 4,594/1964 and SUSEP Circular No. 612/2020, as well as the commercial guidelines established by VALIO;
• Comply with the provisions of Law No. 9,613/1998, related to the prevention and combating of money laundering, and adopt measures to avoid any involvement in unlawful practices, including transactions involving the concealment of assets, rights and values, and refrain from engaging in, authorizing or permitting any conduct that could result in a violation, by VALIO or its partner insurers, of anti-corruption or anti-bribery regulations, whether direct or indirect;
• Undertake to immediately notify VALIO if it becomes aware of or suspects any act of corruption related to the marketing of VALIO's products;
• Declare that it has read, understood and agrees with the standards described in the Partners and Suppliers Manual, and is aware that failure to comply with these guidelines may result in suspension or termination of the partnership; it further declares that it is aware that partners and third parties are essential to the business but may pose compliance risks, and are therefore subject to due diligence with a special focus on anti-money laundering and integrity risks;
• Be responsible for its conduct toward clients and assume full responsibility, both judicially and extrajudicially, for any violation of the Consumer Protection Code resulting from practices that could mislead clients and policyholders regarding the actual purpose of the contracted products;
• Periodically inform VALIO of the territorial scope of its activities, as well as any facts or events related to VALIO, under penalty of liability for failure to disclose such information;
• In accordance with current legislation, issue and send the invoice (or the Self-Employed Payment Receipt, RPA, if an individual) to the party responsible for paying the commission (VALIO or the partner insurer, according to the model applicable to each product) as a condition for receiving the brokerage commission;
• Fully comply with the provisions of CNSP Resolution No. 382/2020, including the prior disclosure to the proposer of the information set forth in Article 4, Paragraph 1, of said Resolution;
• In accordance with the restrictions set forth in Article 125 of Decree-Law No. 73 of November 21, 1966, declare that the BROKER, its representatives, partners and directors do not hold an employment relationship or management position with Insurance Companies, nor with public-law legal entities;
• Implement and maintain robust security measures to protect Information Technology (IT) infrastructure, systems, databases, networks, applications and other resources related to the activities performed against Security Incidents, including access management controls, encryption and backup, threat monitoring and detection, and security updates as necessary;
• Provide periodic information security training to its employees, contractors or any person who has access to information arising from brokerage activities;
• Notify VALIO immediately upon discovery of any Security Incident involving data or systems related to brokerage activities, reporting the consequences and the actions taken or planned to mitigate the risk, and fully cooperate with VALIO in the event of a Security Incident;
• In the event of subcontracting its brokerage activities, require the subcontractor(s) to comply with the obligations above, remaining fully liable to VALIO.

O CORRETOR autoriza expressamente a VALIO a representá-lo e a promover seu cadastro e credenciamento perante as seguradoras parceiras (BS2 Seguros S.A. e demais seguradoras parceiras, presentes e futuras), apresentando, em seu nome, os dados e documentos constantes desta ficha, para fins de habilitação à intermediação e ao recebimento de comissões.

The BROKER expressly authorizes VALIO to represent it and to promote its registration and accreditation with partner insurers (BS2 Seguros S.A. and other current and future partner insurers), presenting, on its behalf, the data and documents contained in this form, for the purpose of qualifying for intermediation and receiving commissions.

O credenciamento perante cada seguradora observará as regras e a aceitação da respectiva seguradora, que poderá recusá-lo, sem que tal recusa afete o cadastro mantido perante a VALIO. A VALIO manterá à disposição do CORRETOR a relação atualizada das seguradoras parceiras.

Accreditation with each insurer will be subject to that insurer's rules and acceptance, which may deny it without such denial affecting the registration maintained with VALIO. VALIO will keep an updated list of partner insurers available to the BROKER.

Esta autorização tem natureza de mandato, limitado às finalidades aqui descritas, e permanece válida enquanto vigente o cadastro.

This authorization is in the nature of a mandate, limited to the purposes described herein, and remains valid for as long as the registration is in effect.

O CORRETOR consente com o tratamento e o compartilhamento de seus dados pela VALIO com as seguradoras parceiras e com terceiros estritamente necessários, para as finalidades de credenciamento, pagamento e repasse de comissões, prevenção à fraude e à lavagem de dinheiro e cumprimento de obrigações legais e regulatórias, nos termos da Lei nº 13.709/2018 (LGPD).

The BROKER consents to the processing and sharing of its data by VALIO with partner insurers and strictly necessary third parties, for the purposes of accreditation, payment and transfer of commissions, fraud and money-laundering prevention, and compliance with legal and regulatory obligations, pursuant to Law No. 13,709/2018 (LGPD, the Brazilian General Data Protection Law).

A VALIO atua como controladora do cadastro e cada seguradora parceira atua como controladora própria dos dados que vier a receber. Os dados serão mantidos pelo prazo necessário ao cumprimento das finalidades e das obrigações legais aplicáveis, assegurados ao titular os direitos previstos na LGPD.

VALIO acts as the controller of the registration, and each partner insurer acts as its own controller for the data it receives. Data will be retained for the period necessary to fulfill the applicable purposes and legal obligations, and the data subject is guaranteed the rights provided for under the LGPD.

A comissão devida ao CORRETOR será definida na proposta comercial de cada produto e calculada sobre os prêmios efetivamente recebidos, líquidos de IOF e cancelamentos. O pagamento da comissão e a respectiva retenção dos tributos incidentes (IRRF, ISS e, quando aplicável, INSS) serão realizados pela parte indicada na proposta comercial de cada produto, podendo ocorrer (i) diretamente pela seguradora parceira ou (ii) pela VALIO, na condição de repassadora, conforme o modelo aplicável ao respectivo produto.

The commission owed to the BROKER will be defined in the commercial proposal for each product and calculated on premiums actually received, net of IOF and cancellations. Payment of the commission and the corresponding withholding of applicable taxes (IRRF, ISS and, when applicable, INSS) will be made by the party indicated in the commercial proposal for each product, and may occur (i) directly by the partner insurer or (ii) by VALIO, acting as a pass-through agent, according to the model applicable to the respective product.

O CORRETOR declara estar ciente de que o modelo de pagamento e de retenção varia conforme o produto e a seguradora parceira. Por se tratar de atividade profissional autônoma, sem exclusividade e com possibilidade de associação a diversas seguradoras simultaneamente, não há fixação de pagamento de valores além da comissão aqui referida.

The BROKER declares that it is aware that the payment and withholding model varies according to the product and the partner insurer. As this is an independent professional activity, without exclusivity and with the possibility of association with several insurers simultaneously, there is no fixed payment of amounts beyond the commission referred to herein.

O CORRETOR e a VALIO acordam em seguir as melhores práticas de segurança da informação e cybersecurity, incluindo, mas não se limitando, aos padrões definidos pelo CIS, NIST, Sarbanes-Oxley Act (SOX), SEC e outros padrões e regulamentos aplicáveis. A VALIO reserva-se o direito de auditar as práticas de segurança e conformidade do CORRETOR com aviso prévio razoável.

The BROKER and VALIO agree to follow information security and cybersecurity best practices, including but not limited to standards set by CIS, NIST, the Sarbanes-Oxley Act (SOX), the SEC, and other applicable standards and regulations. VALIO reserves the right to audit the BROKER's security and compliance practices with reasonable prior notice.

O CORRETOR, acima qualificado, solicita à VALIO seu cadastro como corretor parceiro e autoriza seu credenciamento perante as seguradoras parceiras, nos termos acima, conforme as informações fornecidas, completas e verídicas, que constituem a base do cadastro e dele passam a integrar.

The BROKER, as identified above, requests VALIO to register it as a partner broker and authorizes its accreditation with partner insurers, under the terms above, based on the information provided, which is complete and truthful and forms the basis of the registration, becoming part of it.

Assume integral responsabilidade pela exatidão de todas as informações prestadas, inclusive aquelas não escritas de próprio punho, e compromete-se a comunicar à VALIO qualquer alteração.

It assumes full responsibility for the accuracy of all information provided, including information not handwritten by itself, and undertakes to notify VALIO of any changes.
